Terms of Service

1. Acceptance of Terms

By accessing or using ReFounder ("the Service") at getrefounder.com you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts in your jurisdiction to use ReFounder.

3. Prohibited Items

You may not list or sell on ReFounder:

• Stolen assets or assets you do not lawfully own
• Assets that infringe third-party intellectual property, trademarks or patents
• Scraped or non-consenting email lists, or any personal data without a valid GDPR legal basis
• Illegal content, malware, or anything that violates applicable law
• Assets you are contractually barred from transferring

4. Seller IP Warranty

By listing an asset you warrant that you are the lawful owner of that asset (or are duly authorized to sell it), that the listing does not infringe the rights of any third party, and that you have the right to transfer it to the buyer. You agree to indemnify ReFounder and hold it harmless against any third-party claim arising from a breach of this warranty.

5. Buyer Responsibilities

Buyers are responsible for reviewing the listing carefully before purchase, and for completing the inspection of delivered assets within the 7-day review window. Disputes must be opened within that window through your purchase page.

6. Fees

Listing on ReFounder is free. Sellers keep 100% of the listed price. Buyers pay a Buyer Protection fee on top of the listed price: under €500 = 5% + €1, €500–€2,000 = 4% + €1, over €2,000 = 3% + €1. Disclosed clearly at checkout before payment.

7. Payment Protection & Payouts

All payments are processed through our secure payment system and held safely until the buyer confirms delivery, or until the 7-day review window elapses without a dispute. Seller payouts are then released to the seller's account.

8. Dispute Resolution

Either party may open a dispute from the purchase page. ReFounder reviews evidence submitted by both sides and mediates within 48 hours. Decisions are based on the listing description, transfer evidence and the parties' communications. Funds remain frozen until the dispute is resolved.

9. Platform Liability

ReFounder is a marketplace and is not a party to the contract of sale between buyer and seller. To the maximum extent permitted by law, ReFounder's aggregate liability arising from or relating to any transaction is limited to the platform fee actually collected by ReFounder on that disputed transaction. ReFounder is not liable for indirect, incidental or consequential damages.

10. Governing Law

These Terms are governed by the laws of Finland. Mandatory consumer-protection provisions of the European Union and of the consumer's country of residence continue to apply where they grant the consumer stronger rights. Disputes that cannot be resolved through ReFounder's mediation may be submitted to the courts of Helsinki, Finland, without prejudice to any mandatory venue rules for consumers.

11. Termination & Changes

We may suspend or terminate accounts that violate these Terms. We may update these Terms from time to time; material changes will be communicated via the Service or by email.
